AudioLab Terms of Use

Welcome, and thank you for your interest in AudioLab, a service provided by Wisp Ai, Inc ("Wisp," "Company," "we," "us," or "our"). These Terms of Use, together with any supplemental terms that we may present for particular features or services, form an agreement between you and Wisp governing your access to and use of the website located at https://tryaudiolab.ai, any related websites or subdomains that link to these Terms, and the services, content, tools, features, and resources made available through them, including AudioLab, an online service that allows users to submit text prompts, generate or compare AI-generated audio or text-to-speech outputs, and vote on or rank audio models (collectively, the "Service").
Please read these Terms carefully. By accessing or using the Service, creating an account, clicking to accept these Terms, or otherwise indicating acceptance, you represent that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" and "your" will refer to both you and that entity.
You must be at least 18 years old, or the age of legal majority where you live, to use the Service. If you do not agree to these Terms, you may not access or use the Service.
Section 18 contains an arbitration agreement and class action waiver that affect how disputes between you and Wisp are resolved. Please read it carefully. Unless you opt out as described in Section 18.9, you agree to resolve disputes with us through binding individual arbitration and waive your right to a jury trial or to participate in a class action.
1. Use of the Service
Subject to your compliance with these Terms, Wisp grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for personal, research, evaluation, or internal business purposes. The Service and all content, software, interfaces, models, rankings, features, and other materials made available through it are protected by intellectual property and other laws.
1.1 Supplemental Terms
Certain features may be subject to additional terms, policies, or rules ("Supplemental Terms"). If Supplemental Terms apply, we will make them available through the Service or otherwise present them to you. If these Terms conflict with Supplemental Terms, the Supplemental Terms will control for the applicable feature.
1.2 Changes to the Service
The Service may change over time. We may add, modify, suspend, or discontinue any part of the Service, including model availability, voting mechanisms, benchmarks, account features, or access levels, at any time. We may also require updates to software, browsers, devices, or third-party services to continue using the Service.
2. Accounts and Access
You may need to create an account or sign in through an approved third-party service to use certain features. You agree to provide accurate, current, and complete account information and to keep it updated.
You are responsible for all activity that occurs under your account. You must keep your login credentials confidential and notify us promptly if you believe your account has been compromised. You may not create an account using false information, impersonate another person, create an account for someone else without authorization, or use the Service if we previously suspended or removed you.
If you connect a third-party account to the Service, you authorize us to access information from that account as permitted by the applicable third-party service and your settings. Your relationship with any third-party account provider is governed by your agreement with that provider.
3. User Content, Inputs, and Outputs
3.1 Your Content
The Service may allow you to submit text, prompts, comments, votes, preferences, feedback, metadata, or other materials ("Input") and may generate, display, store, or make available audio, text, rankings, scores, comparisons, or other content in response ("Output"). Together, your Input and Output are "Your Content."
You are responsible for Your Content and for ensuring that you have all rights necessary to submit it to the Service. You represent and warrant that Your Content, and our use of it as described in these Terms, does not violate any law or infringe, misappropriate, or otherwise violate any third-party rights.
3.2 AI-Generated Output
Output may be generated by artificial intelligence systems and may be inaccurate, incomplete, offensive, unexpected, or similar to output generated for other users. You should not rely on Output as factual, professional, legal, medical, financial, safety-critical, or other expert advice. You are solely responsible for evaluating and using Output.
Because of the nature of AI systems, Output may not be unique, and the same or similar output may be generated for other users. Wisp does not represent that Output is protectable by intellectual property rights or that you will have exclusive rights in any Output.
3.3 Ownership
As between you and Wisp, you retain any rights you have in Your Content, subject to the license below. Wisp and its licensors retain all rights in the Service, including the software, interfaces, designs, data structures, model comparisons, ranking systems, benchmarks, and underlying technology.
3.4 License to Your Content
You grant Wisp a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, sublicensable, and transferable license to host, store, reproduce, modify, adapt, translate, create derivative works from, display, perform, distribute, disclose, analyze, derive revenue or other remuneration from, commercialize, license, sell, and otherwise use Your Content, in whole or in part, for any lawful purpose, including to operate, provide, maintain, secure, develop, improve, promote, and monetize the Service and related products and services.
This license includes the right to use Your Content to generate audio, compare model outputs, calculate rankings or benchmarks, detect misuse, debug and improve the Service, conduct research and analytics, train, evaluate, fine-tune, or improve models and related technology, and develop, publish, license, sell, or otherwise commercialize benchmarks, datasets, leaderboards, evaluation results, analytics, insights, and other data products derived from or incorporating Your Content.
To the extent Your Content includes personal information, Wisp's collection, use, sharing, sale, or other processing of that personal information will also be governed by our Privacy Policy and applicable privacy laws. Where account settings or separate written terms provide different choices for certain uses, those settings or terms will control.
3.5 Third-Party AI Services
The Service may use third-party artificial intelligence models, text-to-speech systems, audio generation tools, infrastructure providers, analytics providers, and other services ("Third-Party Services"). You authorize us to share Your Content with Third-Party Services as needed to provide and improve the Service. Third-Party Services may process Your Content under their own terms and policies. Wisp is not responsible for Third-Party Services, their availability, their outputs, or their handling of data except as required by applicable law.
4. Content and Conduct Rules
You agree not to submit, generate, upload, share, or attempt to create content through the Service that:
- is unlawful, fraudulent, deceptive, defamatory, harassing, abusive, threatening, hateful, discriminatory, obscene, sexually explicit, or otherwise objectionable;
- promotes, depicts, facilitates, or incites violence, self-harm, exploitation, terrorism, abuse, or illegal activity;
- infringes or misappropriates intellectual property, privacy, publicity, contractual, or other rights;
- includes personal data, confidential information, financial information, medical information, government identifiers, passwords, or other sensitive information that you do not have authority to submit;
- impersonates another person or uses a person's name, voice, likeness, identity, or personal attributes without permission;
- contains malware, viruses, harmful code, or any technology intended to disrupt, damage, or gain unauthorized access to systems or data;
- is intended to mislead others about the origin, authenticity, or nature of audio, speech, identity, or model output;
- attempts to create deepfakes, voice clones, synthetic voices, or audio impersonations of real people without all required rights and consents;
- violates any applicable model, platform, or Third-Party Service policy; or
- otherwise violates these Terms or any instructions we provide through the Service.
We may remove, block, refuse, or limit access to any content or account at our discretion, including where we believe content or conduct may violate these Terms, harm users, create legal risk, or undermine the integrity of the Service.
5. Prohibited Uses
You may not, and may not help anyone else:
- copy, modify, reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying components of the Service, except to the extent allowed by law;
- scrape, crawl, harvest, or use automated means to access the Service or collect data, except as expressly permitted by us in writing;
- manipulate any leaderboard, ranking, voting, or benchmark function, including by submitting false, misleading, excessive, automated, coordinated, or bad-faith votes, or by offering or accepting compensation for votes;
- interfere with, disrupt, overload, or compromise the Service or related systems;
- bypass rate limits, access controls, safety systems, authentication, or other restrictions;
- use the Service to develop competing services in violation of applicable law or contractual obligations;
- sell, resell, sublicense, rent, lease, or commercially exploit access to the Service unless we authorize it in writing;
- use the Service for surveillance, unlawful profiling, unlawful discrimination, or decisions that produce legal or similarly significant effects without appropriate human review and legal compliance;
- frame the Service, use our trademarks or logos in metatags or hidden text, or otherwise imply affiliation with Wisp without permission;
- remove, alter, or obscure copyright, trademark, or other proprietary notices;
- benchmark, evaluate, or publish performance information about the Service in a misleading way or in violation of any posted rules;
- use the Service in violation of export control, sanctions, or other applicable laws; or
- encourage or enable any violation of these Terms.
Any unauthorized use of the Service automatically terminates the rights granted to you under these Terms.
6. Monitoring, Enforcement, and No Pre-Screening
Wisp may, but is not obligated to, monitor, investigate, pre-screen, review, refuse, remove, disable, or restrict access to the Service, accounts, and content, including Your Content, at any time and for any reason, including to operate the Service, enforce these Terms, comply with law, protect users, protect Wisp, or improve safety and integrity.
You acknowledge that Wisp has no obligation to pre-screen content and is not responsible for content submitted by users or generated through Third-Party Services. You also acknowledge that transmissions through the Service, including text, prompts, audio, votes, comments, and metadata, may be reviewed or processed for the purposes described in these Terms and our Privacy Policy.
7. Ownership and Intellectual Property
The Service, including all software, designs, graphics, interfaces, audio-processing systems, ranking systems, benchmark data, databases, documentation, trademarks, logos, and other materials, is owned by Wisp or its licensors and is protected by intellectual property and other laws.
"AudioLab," "Wisp," "Wisp Ai," and related names, logos, and marks are trademarks or service marks of Wisp or its affiliates. You may not use our marks without our prior written permission. Third-party marks that appear in the Service belong to their respective owners.
8. Feedback
If you provide ideas, suggestions, bug reports, feature requests, comments, or other feedback about the Service ("Feedback"), you grant Wisp a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, reproduce, modify, distribute, and otherwise exploit that Feedback for any purpose without restriction or compensation to you.
9. Privacy
Please review our Privacy Policy, which explains how we collect, use, and share information about you. By using the Service, you acknowledge that we process information as described in our Privacy Policy.
10. Third-Party Links and Services
The Service may contain links to third-party websites, services, applications, models, APIs, advertisements, content, or resources. We provide these links and integrations for convenience only. Wisp does not control and is not responsible for third-party websites, services, content, policies, or practices. Wisp does not review, approve, monitor, endorse, warrant, or make representations about Third-Party Services or any products, content, or services provided through them.
If the Service allows you to export Your Content or other information to a Third-Party Service, including through account linking or sharing tools, you authorize Wisp to transfer that information as directed by you. Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.
11. Fees and Paid Features
The Service may currently be offered free of charge, but Wisp reserves the right to charge fees for the Service or any feature in the future. If you purchase a paid feature, you agree to pay all applicable fees and charges under the billing terms in effect when the fee is due. By providing payment information, you authorize Wisp or its payment processor to charge all fees owed without additional notice or consent, except as required by law.
You agree to provide accurate and complete payment information and promptly update it as needed. We may change prices, billing methods, and paid-feature availability at any time, but changes will not apply retroactively to charges already incurred unless required by law. Except as expressly stated or required by law, fees are non-refundable.
If Wisp is required to collect sales, use, value-added, goods and services, or similar taxes, those taxes will be added to the amounts charged to you. If you are required to withhold taxes from payments to Wisp, you are responsible for those withholding taxes and must provide reasonable evidence of payment if requested. You agree to indemnify Wisp for taxes, penalties, interest, or expenses arising from your failure to pay applicable taxes, except for taxes based on Wisp's net income.
12. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Wisp disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted or error-free operation.
Wisp does not warrant that the Service or any Output will meet your requirements, be accurate or complete, be free from harmful or objectionable content, be secure, or operate without interruption. You use the Service and any Output at your own risk.
You assume all risk for decisions made or actions taken based on Output or other information from the Service. The Service is not intended to provide professional advice, and Output should not be relied on as legal, medical, financial, safety, or other expert advice. Wisp is not responsible for the conduct of any user, Third-Party Service, model provider, or other third party.
13. Limitation of Liability
To the maximum extent permitted by law, Wisp and its officers, directors, employees, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, use, or business opportunities, arising out of or related to the Service or these Terms, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, Wisp's total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to Wisp for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
14. Remedies
You acknowledge that any actual or threatened breach of provisions concerning ownership, licenses, confidentiality, security, account access, scraping, reverse engineering, misuse of the Service, or intellectual property may cause irreparable harm to Wisp for which monetary damages would be inadequate. Wisp may seek injunctive or equitable relief, without posting bond, in addition to any other remedies available at law or in equity.
15. Indemnification
You agree to defend, indemnify, and hold harmless Wisp and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of applicable law; or (e) your violation of any rights of another person or entity.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense. This indemnity does not require you to indemnify Wisp for conduct that applicable law does not permit to be indemnified.
16. Intellectual Property Infringement Notices
Wisp respects intellectual property rights and may terminate account privileges of repeat infringers. If you believe content on the Service infringes your copyright, trademark, or other intellectual property rights, send a notice to contact@tryaudiolab.ai that includes your signature, identification of the work or right claimed to be infringed, identification of the allegedly infringing material and where it appears, your contact information, a statement that you have a good-faith belief the disputed use is not authorized, and a statement under penalty of perjury that the information in your notice is accurate and that you are the rights owner or authorized to act for the rights owner.
17. Suspension and Termination
We may suspend or terminate your access to the Service, delete or disable your account, remove content, or limit features at any time if we believe you violated these Terms, your use creates risk or potential legal exposure, we are required to do so by law, provision of the Service becomes unlawful or impractical, or we otherwise decide to discontinue or change the Service. We may terminate these Terms or your access to the Service without cause upon notice to you. Terminations for cause are made in Wisp's discretion, and Wisp will not be liable to you or any third party for termination of your account or access.
You may stop using the Service at any time. Except as expressly stated in these Terms or required by law, fees are non-refundable. Termination does not affect rights or obligations that by their nature should survive, including ownership provisions, licenses, disclaimers, limitations of liability, indemnification, dispute-resolution terms, payment obligations, trade controls, and general provisions.
18. Arbitration Agreement and Class Action Waiver
Please read this section carefully. It requires you and Wisp to resolve most disputes through binding individual arbitration instead of in court.
18.1 Informal Resolution
Before filing a claim, you and Wisp agree to try to resolve the dispute informally. A party seeking to bring a dispute must first send written notice describing the dispute, the requested relief, and contact information. Notices to Wisp should be sent to contact@tryaudiolab.ai with the subject line "Dispute Notice." The parties will attempt in good faith to resolve the dispute for at least 30 days after notice is received.
18.2 Agreement to Arbitrate
Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The Federal Arbitration Act governs this arbitration agreement.
18.3 Exceptions
Either party may bring a claim in small claims court if it qualifies. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, security, or unauthorized access. Nothing in this section prevents either party from contacting a government agency or regulator.
18.4 Individual Proceedings Only
You and Wisp agree that disputes will be resolved only on an individual basis. Neither you nor Wisp may bring or participate in any class, collective, consolidated, private attorney general, or representative action or arbitration, except to the extent this waiver is found unenforceable by a court of competent jurisdiction.
18.5 Jury Trial Waiver
You and Wisp waive any constitutional or statutory right to a jury trial for disputes covered by these Terms.
18.6 Arbitration Procedures
The arbitrator will have authority to resolve disputes about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide disputes about the class action waiver or whether a party satisfied conditions precedent to arbitration. The arbitrator may award the same damages and relief as a court on an individual basis, subject to these Terms.
Unless the parties agree otherwise, arbitration hearings will take place in Delaware, by telephone, by video conference, or based on written submissions, as determined by the arbitrator and applicable AAA rules.
18.7 Fees
Arbitration fees will be governed by AAA rules. Each party will bear its own attorneys' fees and costs unless applicable law, AAA rules, or the arbitrator provides otherwise.
18.8 Batch Arbitration
If 100 or more substantially similar arbitration demands are filed against Wisp by or with the assistance of the same or coordinated counsel or organizations within a 30-day period, the demands may be administered in batches of up to 100 demands per batch. Each batch may be resolved by one arbitrator with one set of administrative fees, one procedural schedule, and one hearing, if any. This process is intended to increase efficiency and does not authorize class, collective, consolidated, or representative arbitration.
18.9 Opt-Out
You may opt out of this arbitration agreement by sending written notice to contact@tryaudiolab.ai with the subject line "Arbitration Opt-Out" within 30 days after you first become subject to these Terms. Your notice must include your name, the email address associated with your account if any, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.
18.10 Changes to Arbitration Agreement
If we make a material change to this arbitration agreement, we will provide notice as required by law. Your continued use of the Service after the effective date of the change constitutes acceptance, unless you reject the change in writing within 30 days by contacting contact@tryaudiolab.ai. Changes do not create a new opt-out right if you previously accepted an arbitration agreement and did not validly opt out.
19. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, and consistent with the Federal Arbitration Act. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For any dispute that is not subject to arbitration, you and Wisp consent to exclusive jurisdiction and venue in the state or federal courts located in Delaware, unless applicable law requires otherwise.
20. Trade Controls
You must comply with all applicable export control, sanctions, and trade laws. You may not use, export, reexport, transfer, or provide access to the Service in violation of U.S. law or other applicable laws, including to embargoed or sanctioned countries, regions, persons, or entities, or for prohibited end uses involving weapons, military intelligence, nuclear, chemical, or biological activities.
You represent that you are not located in a country or region subject to comprehensive U.S. sanctions, are not identified on a restricted-party list, and are not otherwise prohibited from using the Service under applicable trade laws.
You must promptly notify Wisp if you can no longer make these representations. Wisp may terminate these Terms or your access to the Service immediately if you become a sanctioned person, are located in a sanctioned country or region, or if Wisp determines that termination is required or advisable to comply with trade controls.
21. General Terms
21.1 Electronic Communications
You consent to receive communications from us electronically, including by email, in-product notice, or posting through the Service. Electronic communications satisfy any legal requirement that communications be in writing.
21.2 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
21.3 Force Majeure
Wisp will not be liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, cloud provider outages, government action, pandemics, or shortages of materials, energy, or services.

21.5 California Consumer Notice
Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
21.6 Updates to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms through the Service, updating the "Last Updated" date, emailing account holders, or taking other steps required by law. Unless otherwise stated, updates are effective when posted. If you do not agree to updated Terms, you must stop using the Service.
21.7 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
21.8 Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision or any other provision later.
21.9 Entire Agreement
These Terms, together with any Supplemental Terms and policies incorporated by reference, are the entire agreement between you and Wisp regarding the Service and supersede any prior or contemporaneous agreements on that subject.
21.10 Language
These Terms are written in English. To the extent any translated version conflicts with the English version, the English version controls, except where prohibited by applicable law.
22. International Provisions
If you are located outside the United States, you are responsible for complying with local laws when using the Service. Access to the Service from jurisdictions where the Service or any content is illegal is prohibited.
For users in the United Kingdom, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.
For users in Germany, nothing in these Terms limits liability for intent, gross negligence, injury to life, body, or health, or other liability that cannot be excluded or limited under applicable law.
